• Saved a hospital chain from insolvency in less than 8 months as its Financial Advisor. The hospital chain was in dire need of funding in multiple states, with the lender seeking immediate payment. As a solution, performed daily cash management services, financial forecasts and business plan presentations, departmental profitability analysis and improved performance and profitability, while assisting in the sales process leading to the lender getting paid in full. The hospital joined a national practice which allowed care in the community to continue.
• Provided industry and financial analysis resulting in improved EBITDA (Earnings Before Interest, Tax, Depreciation and Amortization), overall business process improvements and maximizing creditor returns.
• Successfully advised on $675-million of Exide’s Senior Secured Notes (Indenture Trustee) on financial performance, environmental issues involving federal, state and local government agencies, initial valuation analysis and plan terms, including preparation for prospective adequate protection and lien challenge actions. Client emerged from bankruptcy after applying advice to convert their debt to equity which secured opportunity for the bondholders to be paid in the future.
• Instrumental in securing payment for Energy Future Holdings by performing due diligence, attending and preparing for depositions. Energy Future Holdings is one of the largest companies ever to file for bankruptcy with more than $40-billion of debt, largely derived in an LBO (8th Largest Bankruptcy in the world). As the financial advisor, counseled during court hearings in Delaware bankruptcy court, including contested RSA proceedings for $1.6-billion of Unsecured Notes (Indenture Trustee).
• Energetically delivered superior financial advisory services and litigation support for $1.6-billion in Notes (Indenture Trustee) in a contentious covenant default/fraudulent transfer action for Travelport. This complex work included analysis of SEC filings and transfer transactions, reviewing and working on solvency analyses, document review, and organizing a case with more than 3-million pages in discovery. Successfully advised on the terms of a successful out-of-court global settlement and exchange offer.
• Travelport’s out of court restructuring won multiple M&A Advisor awards for best out of court restructuring deal of the year with an astonishing 99% bond holder approval of the settlement. Served as financial advisor to the bond holder trustee.
