Responsibilities include providing support to Assistant General Counsel and Staff Attorneys of Corporate Legal Department of Harrah’s Operating Company, Inc.; resolving routine legal issues regarding Intellectual Property (“IP”) and Information Technology (“IT”) projects; creation, negotiation, preparation and legal review of IT-related contracts and statements of work; creation, preparation and review of IP-related contracts, focusing on Copyright and Trademark issues, Licensing (esp. re: “World Series of Poker™”), and Patent research and application. Additional responsibilities include, but are not limited to the following: reviewing and redlining non-disclosure agreements (“NDA”), engagement letters, master services agreements (“MSA”) and other types of commercial agreements to be consistent with the company’s protocols and best practices; drafting and negotiating terms and conditions for technology agreements, including license agreements, consulting services agreements, NDA’s, and MSA’s; maintaining a repository of all contract documentation; reviewing and updating standard contract templates while identifying terms and clauses in agreements that represent compliance risks; performing complete search and diligence on every contract in the repository to identify non-compliance issues; requesting or approving amendments to or extensions of contracts; reviewing all correspondence concerning contracts and responding as necessary.
