Business-minded attorney with 28+ years of diverse, national transactional and general corporate law experience in a broad range of industries. * Serves in the functional role of outside general counsel to a variety of companies (developmental stage, portfolio companies for private equity owners, and small publicly-traded corporations with limited internal legal staff). * Personable and effective communicator that routinely works with Boards of Directors, C-suite officers and company managers. * Identifies and manages business strategies and legal issues using common sense, cost/benefit analysis, and an understanding of the pertinent business and legal issues. * Extensive, first-chair experience handling: corporate governance equity and debt raises, recapitalizations, and restructurings complex stock and asset acquisitions/dispositions, mergers, and spin-offs real estate acquisitions/ dispositions, developments, leasing and financing joint ventures and strategic partnerships general business counseling, strategic planning, and contract negotiations and secured, mortgage and specialty financing. * Knowledgeable in many legal specialties in addition to core practice areas, including public securities, labor/employment, litigation, bankruptcy/creditor's rights, tax, ERISA, real estate, debt financing, hospitality, healthcare, construction, environmental, licensing, franchises, and trademarks. * Experience assembling and managing teams of company representatives and outside professionals to address strategic and legal issues on a wide variety of matters. * Experience working with a broad range of clients from start-up companies and entrepreneurs to private equity funds and family offices to publicly traded corporations.
