Daily Duties at Sunoco, Inc.:
Federal and State Securities Law and Corporate Disclosure Issues: Provide legal oversight and review of corporate disclosure process for SUN and SXL, including: Preparation and filing of disclosure reports (e.g., Proxy Statement, Annual Report on Form 10-K; Quarterly Reports on Form 10-Q; current reports on Form 8-K). Handle all aspects of public offerings of equity and debt securities, including negotiation of underwriting agreements, preparation and filing of registration statements (on Forms S-1, S-3, S-4 and S-8) with the Securities and Exchange Commission, and use of prospectuses, in connection with initial public offerings, spin-offs, exchange offers and shelf registrations. Review and drafting of press releases, and advising Corporate Communications, Media Relations and Investor Relations on dealings with financial analysts and others. Secretary to management disclosure review committees at SUN and SXL. Manage pre-clearance program for insiders trading in SUN stock and/or SXL common units. Oversee preparation and filing of required reports under Section 16 of the Securities Exchange Act of 1934, regarding beneficial ownership and trading of SUN stock, and SXL common units, by insiders. Monitor compliance with developments under the federal securities laws, and analyze and provide advice on securities law issues generally. Financing Transactions: Drafting and negotiation of financing arrangements and transactions for secured and unsecured bank borrowings, (term loans and revolving credit facilities), securitization of trade receivables, issuances of public debt and/or equity, commercial paper program, letters of credit, and related transactional documents, including term sheets, credit agreements, financing statements, pledge agreements and other documentation affecting collateral, confidentiality agreements and guarantees. Legal review and analysis of corporate and subsidiary long-term debt instruments and related corporate trust indentures, in connection with planned corporate transactions, including redemption of outstanding bonds. Provide legal guidance and advice to Treasury Operations personnel regarding all aspects of stock transfer (DWAC and DRS) and registration process, including issues relating to declaration and payment of dividends, execution of stock splits and issuance of derivative instruments and phantom stock. Executive Compensation and Benefits: Preparation and drafting of executive and director compensation and benefit plans for both SUN and SXL, including: long-term incentive plans, stock option and restricted stock plans, short-term cash incentive plans, severance arrangements, rabbi trusts, employment agreements and stock ownership guidelines. Provide legal advice and analysis for both SUN and SXL, regarding design, implementation and disclosure of compensatory plans and other arrangements with executives. Legal interface with captive broker for executive stock option program at SUN. General Corporate Matters and Corporate Secretarial Function: Secretary to Audit Committee of SUN Board of Directors. Coordinate, organize, plan and oversee all aspects of annual meeting of SUN shareholders. Draft proxy statements, review annual meeting issues and advise regarding compliance with law. Internal legal counsel and Secretary to The Sunoco Foundation, a charitable organization. Analyze general corporate governance matters for SUN and SXL, and advise regarding strategic concerns. Evaluate and provide advice on issues arising under the Pennsylvania Business Corporation Law, Delaware General Corporation Law and other statutes (e.g., applicable limited liability company and partnership laws), and prepare corporate governance documents. Prepare board and committee briefing materials, and resolutions authorizing major transactions and financing commitments. Oversee management of subsidiary legal entities and corporate subsidiary database. Other: Supervise and mentor staff. Lead lawyer on corporate internet/intranet activities.
