• Practice focused on commercial transactions; worked closely with Fortune 500 clients on wide array of complex transactional matters • General Corporate: Drafted various corporate documents, including articles of incorporation, bylaws, board resolutions, articles of organization, operating agreements, amendments and restatements of articles of incorporation or organization, and amendments to operating agreements. Drafted corporate documents for several clients of the firm in connection with internal governance, including purchase agreements, merger related documents, dissolution documents, and documents in connection with corporate remediation. • Securities: Drafted and reviewed documentation in connection with capital raising, including term sheets, promissory notes, warrants, subscription agreements, accredited investor questionnaires, stock purchase agreements, 228 Notices to non-consenting shareholders, legal opinions, back-up certificates to legal opinions, Rule 144 legal opinions, assignment of interest agreements, compliance checks of Forms 8-K and 10-K. Advised major firm client on the delisting process from the NASDQ National Market. • Researched and drafted legal memoranda on international legal, compliance, and regulatory issues so as to ensure corporate clients operated in compliance with relevant statutory requirements both in daily practice and in Cross-Border transactions
