Corporate Counsel (Head of Legal) & CEO of Broker-Dealer Subsidiary • Drove innovative legal structures that directed business models and addressed novel issues in a nascent industry. • Created and led corporate compliance programs and all broker-dealer and investment adviser functions, including directly handling relations with the SEC, FINRA, and other financial services regulators. • Developed and negotiated private real estate operating agreements, loan documents, private placement memoranda, private and public securities offering documents (including fund offerings), warehouse credit line, and venture debt agreement. • Handled all other general corporate matters, including vendor contracts, intellectual property, employment matters, and dispute resolution, including litigation management. • Lead content marketing and other educational efforts, both on company website and with external media.
