Daily Duties at Teva Pharmaceuticals Usa, Inc.:

Experienced manager of 160+ companies and records. Extensive experience includes: • Drafting of Board of Director and Shareholder Consents, including election of officers/directors, dividends, acquisitions and mergers, sale/acquisition of assets and property, corporate amendments, such as name changes, stock adjustments, and so on, along with Secretary Certificates, Powers of Attorney, and any and all required documents. • Preparing and filing of Articles of Incorporation, Articles of Organization, Amendments, Fictitious Names registrations (state and county level), mergers, dissolutions, partnerships, limited liability companies, etc. • Filing of state required corporate annual reports. • Drafting of merger and acquisition documents. • Obtaining Apostilles and Legalizations for any country. Experience includes obtaining Apostilles from the county and state levels and working with Consulates for Legalizations. • Reviewing and approving litigation Disclosure Statements for complaints, responses, interrogatories, and so on, for all USA corporate entities. • Working closely with Tax, Finance and Treasury for the opening of bank accounts, stock redemption, corporate matters, real estate, IP, and so on. • Pulling documents from Secretary of State, SEC, Dun and Bradstreet and other state and Federal websites for corporate matters. • Researching and interpretations of corporate rules and regulations per state. • Working relationships and management of firms designated as registered agents for service of process for operating entities. • Assisting with the selection of officers and directors for the entities managed in the USA. • Reviewing of due diligence documents for acquisitions. Experienced manager of over 1000 state licenses for the shipment of pharmaceuticals throughout the USA. Responsibilities include: • Completing state Wholesaler/Distributor/Manufacturer license applications and renewals for existing manufacturing, distribution and R&D facilities. • Researching and interpretation of state rules, regulations and statutes for Wholesaler/Distributor/Manufacturer licensure requirements throughout the USA. • Maintaining State Licensing Database that I designed and created to organize and store all Wholesaler/Distributor/Manufacturer licenses. • Assisting with DSCSA (Federal) requirements and planning for implementation. • Key in obtaining VAWD Accreditation for distribution facilities in the USA. • Manager for all state Wholesaler/Manufacturer/Distributor license requirements and regulations, with extensive knowledge in these areas, being the sole contact and expert for the company in the USA. • Approving customer’s state licenses and release of customer’s orders, based on current state licensing. • Completing DEA Powers of Attorney for 222 Forms. Other Responsibilities: • Supervisor of two Paralegals. • Preparing Powers of Attorney and other documents for the sale, transfer, title, lease, etc. of vehicles. • Assisting Treasury Department with the recovery of unclaimed property. Assisted in obtaining millions of dollars in funds. • Managing product registrations in Florida, Louisiana and Puerto Rico. • Obtaining local and city licenses, including Certificates of Occupancy, Zoning permits, Food permits, and so on.
