Daily Duties at Cote & Casey/Cote Law Offices:
CORPORATE COUNSEL: ▪ Provide corporate counsel to Focus Technology Solutions, Inc.; a mid-sized technology company that provides comprehensive IT solution services, managed services, cloud services and technology throughout New England and the entire East Coast. ▪ Analyze and approve all corporate documentation, draft votes, and attend meetings. ▪ Provide legal guidance to the HR department regarding employee issues, drafting and enforcing non-competes and confidentiality contracts. ▪ Compile, review and negotiate various types of legal agreements and contracts for the Company including: Managed Services Agreements, Service Agreements, Cloud Hosting Agreements, Employment Agreements, Consulting and Equipment Services Agreements, Teaming Agreements, Code of Corporate Policies/Ethics, and various technology related contracts. ▪ Work with the sales force to ensure compliance with contracts and state and federal laws. REAL ESTATE: ▪ Close more than 10,000 commercial and real estate loans on behalf of numerous lenders and mortgage companies. ▪ Draft and negotiate commercial leases on behalf of landlords and major tenants such as Sprint, AT&T, Men’s Wearhouse and Blinds to Go. ▪ Generate and negotiate hundreds of commercial and residential purchase and sale agreements. ▪ Represent both developers and homeowners in all aspects of zoning before all local boards and state agencies including: obtaining variances, site plan approvals, orders of conditions and superseding orders of conditions with DEP, special permits, sewer extension permits and ANR approvals. ▪ Draft comprehensive, widespread zoning opinions on behalf of lenders. ▪ Collaborate with numerous lenders on guiding foreclosures and workout procedures. ▪ Generate residential and commercial master deeds and condominium trusts and bylaws for condominiums and condominium projects. LITIGATION: Provided comprehensive and versatile legal representation for the following: o Developers, contractors, lenders, and businesses in construction disputes and all forms of collection matters in both Superior and District Courts. o Clients on all forms of zoning appeals including: denials of variances and special permits, revocation of building permits, conservation issues and denial of sewer extension permits. o Lenders in obtaining relief from stay in U.S. Bankruptcy Court. o Businesses and individuals in employment and non-compete suits. o Heirs in estate related litigation. o Clients before state regulatory boards. o Clients before the ABCC in liquor license appeals. o Businesses in general business/contract cases in Superior Court. o Landlords in lease disputes including commercial and residential evictions. o Property owners in eminent domain cases. o Clients in Land Court in deed reformation and boundary dispute matters. CORPORATE ESTATE PLANNING: ▪ Work with numerous business entities to draft their Articles of Organization and LLC Agreements. ▪ Draft, review and negotiate a variety of contracts, general business agreements and documents for business clients including: asset purchase agreements and buy/sell agreements. ▪ Provide legal counsel to businesses on general business and legal issues including employment and contract issues. ▪ Handle legal estate planning for individuals and families and probated estates.
