As a Corporate Legal Generalist with many years of experience, I was a key executive of this large international corporation. I directed and managed all day-to-day legal operations in the USA in coordination with our Zurich based parent company; counseled and guided senior management on risk, legal issues and corporate governance; as M&A Team Leader, performed due-diligence, negotiated and drafted all documentation for all mergers and acquisitions (innovating and effecting internal company mergers that dramatically streamlined company operations and eliminated significant wasteful costs); specialized in drafting, negotiating and reviewing all client and vendor contracts (supply, MSAs, NDAs, Non-Competes, etc.); negotiated, drafted and maintained all commercial leases for our 12 offices across the USA; partnered with and advised HR on employment Law and policies, Employee Handbook, termination documents and employee issues; strategized, coordinated with and supervised outside legal counsel on major litigation; developed and standardized our model contract templates and policies; interpreted laws, rulings and regulations and determined how they apply to our company business; kept Management current on improved best practices; oversaw and ensured compliance with Kuoni parent corporate ethic regulations and internal regulations; and, as Corporate Secretary, maintained and kept updated all of our corporate licenses, state and local filings, corporate records and minute books.
