• Represented public and private companies and private equity funds in all aspects of their employment and employee relations matters, including assisting with downsizings and workplace reductions, corporate transactions, discrimination claims and compensation disputes and compliance with federal and state statutory and regulatory requirements. • Drafted and negotiated employment agreements, non-competition and non-solicitation agreements, separation agreements, general releases, as well as the employment and employee benefits provisions of transactional documents, proxy statements and other securities filings. • Coordinated and provided employer training guidance on various aspects of the employer-employee relationship, including sexual harassment, anti-discrimination and employee misconduct. • Counseled clients in connection with governmental audits relating to exempt/non-exempt status and overtime issues, investigated and provided recommendations as to claims of discrimination; • Assisted clients in the preparation and revision of employee handbooks and workplace policies, as well as counseling clients in connection with strategy and implementation of employee terminations. • Advised clients, institutional and individual, in connection with executive compensation and employee benefits matters, including the design and preparation of compensation and benefits plans, programs and arrangements and assisting clients in identifying and complying with Code Sections 280G and 409A. • Authored and lectured on matters related employment contracts and ancillary issues. • Practice has also included a broad-based general corporate representation advising clients on a range of matters, including corporate transactional matters, equity and debt offerings, capital financing arrangements and corporate governance compliance.
