Represented Kansas Pipeline Company (a 3000 mile natural gas pipeline system) in major legal endeavors from inception, including regulatory, contract negotiation and drafting and litigation management, while Kansas Pipeline grew from zero to 30% market share in the Kansas City metro area. Collaborated with an investment banking firm to publicize the bid process; developed sale presentation package; set up data room; managed bid procedures; presented company profile to prospective bidders in the successful sale of the company in 1999.Managed complex legal proceedings before regulatory boards. Negotiated and drafted numerous contracts, such as fixed rate, senior secured loans, and 20-year investment grade natural gas transportation contracts. • Performed active day to day legal role to management on all material legal matters, including gas transportation and purchase contract contracts, for regulated and unregulated entities, as well as rights of ways easement work, condemnation actions, engineering, design, construction contracts and subcontracts. • Participated in the negotiation and drafting of a $90M, 20-year senior secured debt instruments and $15M operating line. • Led legal efforts to construct a 50-mile pipeline extension and 600-mile pipeline refurbishment and conversion, • Participated in successful rate cases before state and federal regulatory bodies. • Spearheaded the negotiation, bidding, and contract efforts resulting in the sale of the pipeline for $200M in 1999.
