Directed corporate development activities and provided wide-ranging legal services for these companies. Spearheaded corporate development initiatives from identifying business opportunities and conducting initial feasibility analysis through contract development, negotiation, and project implementation. Built teams of diverse, cross-functional entities. Oversaw contract development, negotiations, regulatory compliance, and supervision of outside counsel in complex matters including complex commercial litigation and before regulatory commissions. • Spearheaded the $80M acquisition of a 260-mile Missouri Pipeline Company System and a local gas distribution pipeline in Missouri. Performed due diligence and negotiated purchase contracts. • Led efforts to obtain investment grade $40M senior secured loan and $20M mezzanine loan. Successfully lead legal approval proceedings before state regulatory agency. • Led negotiations to sell controlling interest in two pipeline systems valued over $100M. • Led the negotiation and drafting efforts for $54M credit facility for a $76M ethanol facility. • Managed the $10M construction of an 88,000 sq. ft., 2-sheet, ice rink in Overland Park, Kansas. Negotiated engineering, construction, and ice usage contracts for the construction and operation of the facility. • Managed and structured the acquisition of 15% of a publicly-traded oil and gas production company with $9.5M of convertible, dividend-paying securities in 2002, and sold position for $16M in 2004. • Negotiated and drafted contracts in the entertainment industry while in China for 6 months during 2005 and 2006, including compliance with corporate and banking restrictions under Chinese legal requirements.
