Acted as principal contact for multiple private companies, conducted complex review and analysis, document management and filing, and facilitated trainings and classes for other Paralegals and staff members. • Efficiently and accurately performed Senior Corporate Paralegal tasks including but not limited to: • Preparing, managing, and filing all corporate business charter, venture capital financings, mergers and acquisitions, and initial public offerings closing transactions and documents • Reviewing and summarizing due diligence documents and counsel transfer records • Drafting board minutes, opinion letters, shareholder consents, waivers, and private company board and shareholder meeting documents • Analyzed compliance issues, conversions and pro-rata calculations, and preliminary market overhang • Researched and prepared Blue-Sky memoranda, SEC filings, S-8 registration and statements, 424B3 prospectus supplements, Section 16 reporting, and closing memoranda and volumes. • Acted as Stock Option Plan Administrator for 12 corporate clients; responsible for handling all filing needs with the Securities Exchange Commission. • Effectively trained and mentored approximately 100 Junior Paralegals on firm databases and conducted training classes on Section 16 Reporting, Rule 144, 701, and 144(k) opinions. • Collaborated with Partner Secretaries to ensure common goals and deadlines were met; additionally acted as firm-wide resource available to Corporate Paralegals, mentored Junior Paralegals, and supervised a Legal Secretary.
