Daily Duties at Jones, Galligan, Key & Lozano, Llp:
• Advanced experience in contracts law, including the drafting of specialty contracts, with a deep understanding of applicable clauses (attorney’s fees, venue selection, arbitration, to name a few); deep understanding of contracts construction including the four-corners doctrine, construed against the drafter, parol evidence rule • Advanced experience in commercial, business and real property transactions including the negotiation and drafting of a broad variety of related documents, including real estate agreements (purchase and sale, liens, deeds of trust & deeds), commercial and residential leasing, evictions, lending, franchise agreements, construction agreements, service and sale of goods agreements (including search and preparation of UCC filings), corporate governance matters (Articles of Formation, Bylaws, Partnership Agreements, Minutes, Agendas), private mergers and acquisitions, sale and purchase of stock and assets, collections bankruptcy and O&G law • Advanced experience in estates law, including advise clients and draft documents for trusts, probate, wills, estate planning and powers of attorney; appear in Court for probate matters • Advanced experience in school law, including advising a Public Governing Board and Superintendent on open meetings and open records laws and other district governance matters, conduct and document student discipline hearings, work with School District manager on requests for proposals; draft local policy • Experience employment law: negotiate and draft a variety of employment contacts including ones with independent contractor, non-compete and non-disclosure clauses; draft mutual termination agreements; conduct and document employee investigations • Some criminal law; including representation of clients in Court for misdemeanor charges • Represent clients in court and in agency administrative hearings • Negotiate and resolve claims and litigation on behalf of clients and draft related documents • Conduct related legal research and provide written memoranda of opinion • Litigation preparation and practice • Solid understanding of corporate balance sheet, cash flow and tax matters • Firm Project Leader, oversaw the Firm’s conversion to “Practice Master” law billing and case management software (closely worked with 3rd party IT company from beta run to full establishment) • Firm Project Leader, oversaw the Firm’s construction of 10,000 sf of new office space (worked with General Contractor and sub-contractors in respect of construction questions and issues) and related costs • Team Member, oversaw the Firm’s transition from book-based research to online “Westlaw” research and related expenses • Team Member, oversaw the Firm’s conversion of 30,000+ files to scanned data files • Participated in weekly Firm management meetings covering all aspects of law firm management including the minimization of costs, the selection of health care and 401(k) plans, employment matters and allocation of work among employees • Interviewed, hired and managed personal support staff
