Daily Duties at Ascensus College Savings (Fka Upromise Investments, Inc.:
Provided legal and regulatory support to the industry’s largest 529 Plan Administrator specializing in recordkeeping and program management services. Served as lead in-house counsel for 5 states college savings plans (AR, ID, HI, ND and IN). Provided day-to-day guidance, support, and training to junior/temporary attorneys, paralegal, assistant and legal interns in the Legal Department. M&A • Managed and executed on all aspects of due diligence, planning, budgeting and other areas of the M&A lifecycle from pre-LOI through integration with corporate partners and outside counsel with regard to the acquisition of Upromise Investments, Inc. by Ascensus, Inc. in December 2013. Contracts • Reviewed, drafted and negotiated various agreements including customer, procurement, consultant, licensing, data use, staffing and confidentiality/NDAs. Corporate Governance • Supported corporate governance functions, including responsibility for drafting board resolutions, minutes, officer certificates etc. and maintained accurate and current minute books and other records, databases regarding contracts and material documents as it relates to directors and officers of each subsidiary and strategic partnerships. • Developed and enforced corporate policies and procedures. Dispute Resolution • Trained Mediator that attended mediation hearings on behalf of the company. • Responded to subpoena requests and IRS levies. • Handled issues related to wills, trusts and POAs with attorneys, financial advisors and internal and external clients. Facilities/Real Estate • Sole point of contact for all Facilities matters. • Directly responsible for opening a new office in Kansas City, MO. Human Resources • Advised HR in employee policy development, hiring, disciplinary actions and employee dispute management. IP • Facilitated development and managed protection of intellectual property rights. Marketing • Reviewed and advised internal and external clients on company marketing efforts including advertisements, client communications, press releases, websites, email, direct mail marketing, sweepstakes and contests and social media. Risk Management • Worked with outside auditors on the annual 529 plan audits and the semi-annual SSAE16 Reports. • Participated in FINRA and SEC Audits.
