• Research and write memoranda for corporate, bankruptcy, commercial litigation, employment law other issues • Research and prepare litigation strategies and write motions for employment law and commercial litigation matters • Review acquisition deals and analyze closing documents focusing on compliance and governance matters • Reviewed and analyzed ground leases and development agreements for prospective merger and acquisition deals • Develop corporate compliance analysis and advise clients on business operating strategies and litigation options • Draft equipment, licensing, and property lease agreements and amendments to LLC membership agreements • Prepared fraudulent conveyance analysis for bankruptcy proceeding on a $45 million membership interest
