Legal Secretary to partner specializing in the field of Executive Compensation and Benefits, and to Merger and Acquisition/stockholder Attorney specialist; General secretarial/administrative duties, including preparation and formatting of various benefit plan documents and regulatory forms; preparation and formatting of various compensation and benefit summary documents; responsible for the filing of all Blue Sky Securities Exemption applications pertaining to clients with Stock Option Plans and Equity Incentive Plans within the District of Columbia for both the Reston and DC offices of Cooley LLP; Maintaining record of clients requiring DC and Maryland Blue Sky Exemption filings; heavy client contact; Assisting with closing paperwork for mergers, acquisitions and financing deals; preparation of closing binders and transaction books for each deal I worked on; preparation of spreadsheets regarding Code Sections 280G and 409A aspects of Executives’ compensation packages; screening telephone calls for Partner and Associates; time entry for multiple attorneys; overseeing and keeping calendar of appointments and regulatory dates/deadlines; file management; travel arrangements for multiple attorneys; billing procedures for clients of my practice group; opening and closing of files as and when required; cash receipts and management of retainers from clients; attorney expense reimbursements; overseeing attorney CLE requirements are met; maintaining complete and accurate records on all client contacts, potential clients, conflict checks, opposing counsel, client numbers, client billing requirements; obtaining and maintaining collection of all necessary forms, filing requirements for various regulatory entities, company procedure requirements and policy documents; production and distribution of Minutes to Retirement Committee meeting as and when required; ensuring confidentiality of client documents and communications, and also maintaining secrecy of certain proprietary information held by clients and attorneys; maintaining pleasant appearance and pleasant demeanor at all times towards other members of staff and clients/visitors; assist other members of staff and attorneys as required and whenever possible; encouraging team effort in the workplace.
