Daily Duties at Giesecke & Devrient America, Inc.:

Member of Global Management Team. Provide experienced senior legal support and advice to all levels of management, internal business clients, and legal staff. Manage, monitor and develop practical and strategic solutions involving a variety of regulatory and legal compliance issues including labor & employment, privacy, antitrust, exports, non-competes, insurance, intellectual property (IP), international law, mergers & acquisitions (M&A) and other matters. Draft, negotiate, review and revise all contracts pertaining to the Company business (including standard templates and external forms) involving the purchase and sale of IT and telecommunication products and services, technology transactions, software licenses, hardware, support & maintenance, hosted services, internet, websites, professional and consulting services, confidentiality, restrictive covenants, employment terms, vendors, resellers, distributors strategic partners, product development and bundling, and leases. Identify and communicate risks. Provide final legal approval of a wide range of domestic and international business transactions with a broad range of companies including major national and international banks, retail, hospitality, casinos, transit agencies, mobile network operators, technology companies, telecommunication providers, information technology (IT) providers, OEMs, and government agencies. Coordinate and work with insurance brokers to ensure adequate insurance coverage for various corporate entities. Handle all corporate governance for the US and Canadian subsidiaries, including maintenance of the corporate minute and record books, preparation of resolutions, consents, certificates, meeting minutes, and other corporate documents as well as notices and other documents for Board Meetings. Manage dispute resolution at all stages: pre-litigation counseling, coordination and management of outside counsel, litigation strategy and negotiated settlements. Maintain and develop compliance policies and procedures. Perform legal research, interpret and synthesize new legal and regulatory developments, and keep abreast of legal developments. Supervise legal and contracts support staff.
