Under the direct supervision of the General Counsel, drafted and is currently implementing a corporate compliance program, a risk assessment and mitigation review, and a records management policy; drafted and coordinated inter-departmental implementation of corporate policies on information security, use of electronic property, and contracts management; assisted the Secretary to the Board in drafting resolutions and administering corporate securities; provided guidance on intellectual property, infringement, and patent; reviewed and negotiated teaming agreements, reseller agreements, and service agreements in support of U.S. government contracts; performed due diligence in M&A opportunities and OCONUS transactions; supported export compliance; and conducted any research or drafting necessary to support General Counsel’s memoranda. Heavy day-to-day involvement in contract negotiation and review of both prime and subcontracts subject to FAR/DFARS clauses; primarily responsible for maintaining corporate and inter-business unit coordination to ensure compliance with DCAA guidelines, ITAR/EAR regulations, and cost accounting standards for cost-plus type contracts. Provides Engineering, R&D, and BD/Sales teams with recommendations on various legal issues, including data and technical rights, flow downs to subcontractors, and organizational conflicts of interest.
