Vice President and Controller St. Louis, Missouri September 2005 – December 2012 Corporate Officer responsible for internal and external financial reporting, management of shared accounting services, corporate and field accounting departments, and control-related functions. Primary duties include: • Development and implementation of accounting policy at both the corporate and field levels • Oversight of the preparation and filing of consolidated financial statements on SEC forms 10-K and 10-Q, as well as the annual report to shareholders • Collaborate with internal and external legal counsel on other SEC filings including form S-1 registration statements and DEF 14C information statements • Manage external audit relationship with Big Four independent registered public accounting firm • Responsible for the investor relations function, including outsourced stock transfer agency services • Serve on corporate Finance, Employee Benefit, Branch House, and Disclosure subcommittees of the Board of Directors • Assist with the development and implementation of compliance requirements related to disclosure controls and internal control over financial reporting under the Sarbanes-Oxley Act of 2002
