• Managed the financial accounting, treasury, management reporting, costing, budgeting, cost control, margins analysis, audit and taxation functions • Ensured US GAAP, statutory and regulatory compliance and revenue recognition • Directed the compilation of financial statements consolidation, international accounting, foreign currency translation/conversion gains/losses/adjustments, • Strengthened the internal control systems of the company, and ensured Sarbanes-Oxley (SOX) readiness • Carried out due diligence on an acquisition target company, as well as e-data room creation for merger • Coordinated off-shore software services provided by overseas subsidiaries • Formulated Employee Stock Option Plan (ESOP), Sales incentives, kickers and performance bonus plans • Supervised the Payroll preparation, Administered Employee Retirement (401k) Plan, Form 5500 filing, 401k Census filing • Managed Financial Planning and Analysis, Budgets/Business Plan preparation, tracking, variance analyses • Reviewed legal, corporate and contractual documents (MSA/CSA, PO, SOW, NDA, Employment contracts, Termination Agreement and General Release, Partnership agreements, Articles of incorporation etc.) • Liaised with litigation attorneys for various matters - court filings, arbitration proceedings, settlements • Managed corporate secretarial function – board and shareholders’ meetings, agenda, notices, and minutes
