•Managed corporate governance for Company and 120 subsidiaries, domestic and international, maintained all minute books. •Prepared consents for all subsidiary actions including but not limited to formation, qualification, withdrawal and dissolution. •Assisted with IPO’s, asset sales, mergers and acquisitions, due diligence, preparation of proxy statement and annual report, Hart Scott Rodino filings. •Updated Secretariat database and supervised unclaimed property reporting. •Assisted and successfully completed Corporate Records Management Department in organizing Corporate Records files. •Assisted Land and Right-of-Way with Acquisition and Divestiture file reorganization research project identifying all subsidiaries of Kinder Morgan, Inc. 1938 to current. •Dissolved 40 subsidiaries for General Counsel. •Assisted in implementation of Unclaimed Property Reporting guidelines for Company.
