Daily Duties at Umpierre Suarez Law Offices:
Proficiently managed the firm’s commercial lending and corporate banking division. Supervised and directed the activities of four attorneys and five legal assistants. Completed a diverse range of legal work, including researching, negotiating and drafting multiple complex contracts. • Counseled corporate and individual clients on contract formation, performance, modification, and termination with a focus on loan agreements, purchase and sale agreements, collateral perfection, security agreements, mortgages and all agreements associated with commercial and corporate loans. • Handled first chair negotiations, preparation and review of multiple agreements for commercial and corporate transactions. Handled all communications with bank executives and opposing counsel. • I coordinated and planned the execution of thousands of transactions with multiple parties involved, including bank executives and legal representatives. I had to negotiate transaction were a company requested a commercial loan to purchase a property where it involved the sellers, the company purchasing the property, the bank offering the loan and their respective legal representation. Also, I negotiated transactions involving third party agreements, stock options agreements, asset based agreements as collateral and security for the transaction. Furthermore, I executed transactions that included as collateral, equipment, airplanes and vehicles. • I held weekly meeting with high bank executives and prominent clients where I had to explain to them if the transaction was legally viable or if it had any legal obstacles that needed to be corrected. As the lead attorney in transactions involving millions of dollars, I constantly met with opposing counsel to discuss in depth the purpose of the business transaction and the legal and regulatory requirements for executing the transaction. • I provided legal advice regarding structuring of loans agreements, collateral, perfection of security interests, purchase and sale agreements and lease agreements. • I participated in multiple real estate transactions and conducted corporate due diligence reports on all corporations requesting loans and members of the board of directors. • Conducted research and legal analysis on property title search, identifying possible obstacles for executing the transaction, including state and federal tax liens, encumbrance, mortgage priority and successions. • I drafted corporate resolutions, power of attorneys, mortgage deeds and purchase and sale deeds. • I also held lectures to bank executives with regards to compliance with federal and state laws and risks involved when executing unsecured transactions. I also reviewed and negotiated a wide array of agreements including non-disclosure agreements, lease agreements and purchase and sale agreements. I represented a financial institution in issues arising from existing commercial agreements such as interpretations, amendments, terminations or restructuring of the commercial transaction.
