Daily Duties at Epixtar Corp. & Subsidiaries:
Promoted to Vice President and General Counsel of Parent and Subsidiaries, as well as Director of all subsidiaries in 2005; I negotiated and crafted agreements with major clients such as Discover, HSBC, AT&T and FNBO; Negotiated and created commission agreements for all company brokers; Worked closely with overseas attorneys on all foreign litigation matters; Negotiated terms for domestic call center leases, as well build out of overseas call centers; Oversaw all employee matters – separation agreements, severance packages; Lead executive committee in obtaining financing and negotiating terms; Worked with major lenders to craft all financing documentation – placement agent agreements, subscription agreements, notes, warrants; managed overseas subsidiary; Communicated with and handled consumer complaints with State Attorney Generals, Public Utility Commissions, Consumer Protection Units and Better Business Bureau; Managed all legal components of all client programs, oversaw company compliance program and designed campaigns to comply with law; created all Call Center Service Agreements for company; worked with Federal Trade Commission and outside counsel during major company litigation.
