Daily Duties at Tax Masters, Inc.:

Responsible for all of the company’s legal needs including: Providing legal advice in matters related to corporate governance; Act as legal adviser to the CEO all company department heads; Publishing Form 8K for the SEC and company press releases as Corporate Secretary; Handle and manage commercial transactions on the behalf of the company, selects and manages outside and in-house counsel on mergers and acquisitions, and commercial agreements other matters; Identifies potential legal problems, and then achieves timely and satisfactory solutions of the issues by providing in-house legal research and analysis on a wide variety of legal issues; Ensures various company activities are in compliance with all relevant agreements, laws, and regulations by continually performing legal review and research of orders/decisions necessary; Prepares, reviews, and approves various legal documents; Identifies and prepares witnesses and coordinates company response and may appear as counsel in court; Leads litigation cases either directly or by supervising outside counsel; Provides recommendations to management based on legal analysis of proposed business decisions; Counsel CEO and department heads regarding legal implications related to proposed business decisions; handle real estate and regulatory and compliance matters dealing with the Department of Labor; handle Whistle Blower complaints against the company made under Sarbanes-Oxley, handle tax disputes with the Harris County Central Appraisal District; manage in-house legal department’s legal team consisting of 5 attorneys and paralegal support and the litigation and administrative costs; Responsible for Defending Company in all civil litigation and claims made against the company; Drafting Company policies, and applying for various State and Federal Trademarks; Advising the Human Resources Department on employee related matters and representing the company at Texas Work Force Commission hearings; Serving as company liaison with consumer alert groups, and protection groups and States’ Attorneys General; Draft employment agreements; handling Department of Labor inquiries and labor and employment law questions.
