Daily Duties at Joseph F. Manak, P.C.:

PRACTICE: General Management – Consultation - Litigation, Personal Injury, Collections, Business, Corporate Issues and Compliance, Client Relations; Risk Management – Case Management, Regulatory/Safety Compliance/Issues, Research/Investigation; Strategic Planning – Legal Analysis, Budget Management, Training; Project Management – Negotiation/Subrogation, Contract Administration, Mediation/Arbitration; Land Development; Environmental; Real Property; Land Use; Bankruptcy; Immigration, Eminent Domain, and Construction Law. Interpret and apply statutes, regulations, directives, case law, administrative rulings, legal precedents, and court decisions. Skill at drafting and negotiating complex transactions associated with owning and/or operating plants, complying with local, state and federal regulatory requirement, litigation management, and such other contractual and litigation matters. Developed and executed comprehensive legal strategies and solutions to lawfully facilitate objectives while mitigating any associated legal risk. Skill at drafting, reviewing and negotiating Gas Purchase and Sale Agreements, Power Purchase and Sale Agreements, Power Sales Agreements, Power Sales Tariffs, Power Open Access Transmission Tariffs, ISDA Master Agreement, financing and loan agreements, real estate documents, permit applications, constructions contracts and operating agreements. Advise clients of current federal, state and local regulations and requirements regarding natural gas, coal, wind, biomass, and prepare associated compliance filings. Experience with the FERC, NERC, and EPA requirements. Skill in all aspects of their corporate governance requirements and entity formation and dissolution. Excellent interpersonal skills, superior independent functioning and decision-making skills, superior organizational, prioritizing and time management skills and flexibility and ability to take initiative. Skill at drafting and negotiation of contracts for complex commercial transactions, with a focus on acquisition and divestiture agreements, joint agreement packages, acreage trade agreements, exploration and development agreements, unit and joint operating agreements, fairmount agreements. Experience working with a multi-disciplinary team, self-motivated with the ability and drive to work independently and meet deliverables. Strong interpersonal and communication skills, sound judgment and commercial awareness. The ability to manage business unit expectations to comply with company policies and procedures.
