Reported to General Counsel/Corporate Secretary. • Provided legal support to executive management, the Board of Directors, standing Board committees, subsidiaries, operating divisions and staff functions. Sole attorney supporting the General Counsel with increasing responsibility for legal issues (disputes, M&A due diligence, facilitating discovery requests) • Drafted earnings releases, proxy statements, 8-Ks, 10-Ks and corporate governance documents. Project-managed the document drafting, production and distribution for the Annual Meeting of Stockholders. • Advised management regarding a broad array of corporate governance, internal and external communications, public disclosure, and shareholder relations issues. • Spearheaded crisis planning initiative at direction of CEO: researched and drafted Crisis Management Plan, managed external PR agency in crisis planning and communications activities, played key support role in crisis planning and communications activities and drills; provided update briefings to the Board of Directors and the Executive Team. • Played pivotal role in employee engagement initiative: conducted interviews and focus groups, elicited candid feedback from employee stakeholders and presented it appropriately to assist the CEO in assessing the effectiveness of change initiatives.
