Daily Duties at Westcon Group:
• Recruited to execute worldwide strategic growth plans of company reporting to the Group CFO. Propelled company into new geographical, product and customer markets in IT distribution generating incremental sales of $706MM (25%) and incremental EBITDA of $36MM (35%) through six deals worldwide. Led and institutionalized company-wide M&A function. • Sourced, evaluated and executed the Company’s strategic acquisitions/investments, specifically: o Developed a pipeline of acquisition candidates, conducted robust competitor and precedent transactions analysis. o Advised and collaborated with business units worldwide. Key person in preparing strategic financial plans, calculating financing requirements and identifying the related accounting treatment for each investment. o Built flexible financial models to determine valuation and best deal structure. Championed design of innovative tax and legal transaction structure for complex emerging market deals. o Planned and managed the due diligence process across functional disciplines ensuring proper documentation of diligence findings. Spearheaded financial due diligence; findings/negotiations achieved price reductions of $20MM. o Created investment conclusions and presented them to executive management. o Negotiated directly with Seller, prepared final definitive documentation and obtained regulatory approvals. o Partnered with the business unit integration teams to develop 100 day merger integration plans; designed merger integration portal to fast track capture of anticipated synergies. o Reduced external fees by $100K creating flexible models to value intangible assets, company stock plan units.
