Advised internal clients on legal and finance issues and risks, complex deal structures, negotiation strategies, company policies and approval processes. • Supported Americas Sales by drafting, reviewing, analyzing, negotiating, approving domestic and international software license agreements, professional service agreements, education agreements, confidentiality agreements. • Utilized and managed outside counsel for LATAM software license and service agreements. • Supported License Compliance by reviewing and interpreting contract provisions and drafting notification and enforcement letters to ensure proper use and protection of company’s intellectual property. • Collaborated with Finance and outside auditors to establish revenue recognition best practices to ensure compliance with internal policy and external regulation. • Designed, created (> 20,000 lines of Visual Basic Application code), implemented legal software application to automate drafting of custom EULAs to include order-, product- and license-specific terms and conditions.
