Daily Duties at Trapeze Networks, Inc.:

Utilized legal, finance and business expertise to guide senior management and all worldwide internal clients on legal and revenue implications of specific business decisions. Achieved business goals and minimized risk by reviewing, drafting, preparing and negotiating complex inbound and outbound agreements, corporate policy and program documents, regulatory compliance documentation and various other corporate documents and correspondence. • Provided primary support to Sales and Services for all regions worldwide to facilitate key alliances and drive revenue by negotiating direct and indirect international hardware, software, support, partnering, confidentiality and all other sales-related agreements. Provided guidance on worldwide partner programs for compliance with Sherman Act and EU competition law. Provided guidance and training on sales practices with emphasis on SOP 97-2 and other finance and revenue-related issues. Drafted and revised standard contract templates as needed including initiative to revise all standard distribution and reseller agreements for all regions worldwide. • Supported Marketing for all regions worldwide to maximize return on marketing dollars and minimize exposure and liability by researching and writing releases for worldwide marketing campaign testimonials and media appearances. Advised on proper use and protection of company trademarks (including outbound trademark agreements) and proper use of third-party trademarks (including inbound trademark agreements). Negotiated trade show agreements, targeted marketing agreements and various other marketing-related agreements. • Supported IT for all regions worldwide to maximize return on IT expenses and minimize exposure and liability by negotiating hardware and software purchase and license agreements, maintenance and support agreements and business-critical project and consulting agreements. • Supported Operations for all regions worldwide to minimize expenses and liability by negotiating warehouse, carrier, manufacturer termination and all facilities-related agreements. • Engaged in special projects and general corporate support including research and planning assistance on document retention policy and internal revenue-related announcements and correspondence.
