Daily Duties at Tvmax, Inc.:

• Assisted corporate general counsel and staff attorneys on wide-ranging issues including mergers, acquisitions, divestitures, bankruptcy, litigation and other matters. • Negotiated and drafted cable television service agreements, subordination agreements and numerous other documents with owners of multi-family housing projects and their attorneys; prepared responses to termination notices and other correspondence from property owners relative to service agreements. • Managed corporate reporting, including filing of annual corporate reports and payment of franchise taxes for 21 entities in 10 jurisdictions; maintenance of corporate records for all entities (corporations, LLCs, etc.). • Advised company personnel regarding interpretation of and compliance with service agreements, leases, municipal franchises and other matters. • Maintained legal department’s contracts and contract abstract databases, including: o Creation and maintenance of contract abstracts for over 1,200 cable television right of entry agreements in legal department database. o Coordination of legal department database reporting functions with other departments regarding marketing, programming and finance applications. o Organization and maintenance of all company service agreements; office, warehouse and storage facility leases; antenna and antenna site leases; tracking expirations of same. • Assisted company personnel and outside counsel with numerous licensing / compliance, authorization matters with governmental entities including the FCC, state public utility commissions, secretaries of state and corporation commission offices and metropolitan cable television franchising authorities. • Extensive work with in-house counsel, finance department and outside counsel on bankruptcy issues (for over 2 years), including work on DIP and exit financing, assumption / rejection of executory contracts, assets disposition and related matters.
