Contract review and negotiation; Corporate formation and transactions (for-profit and non-profit), including mergers, acquisitions, dissolutions and managing corporate records; Draft and analyze corporate contracts; Real estate development and corporate transactions including the drafting of ancillary conveyance, loan and lease documents; Due diligence review and summaries of title, survey, easements, settlement statements, and related materials; Draft transactional documents based on deal requirements; Draft and negotiate leases, review and prepare lease abstracts; Draft construction documents including (but not limited to) Invitations to Bid, Specifications, Bonds, Bid Proposals, and all AIA documentation; Draft litigation documentation, assemble and organize documentation provided by various school districts with regard to employee grievances, student education plans and the like; Civil litigation.
