• Contributed to the company founders' efforts to develop and refine the original Business Plan, as well as later updates thereto. • Structured, drafted, negotiated, finalized, and advised client on various commercial agreements relating to: o Domestic and international business development activities. o Licensing and syndication of video and Web-based content and related proprietary research information; o Software licensing and technology development agreements; o A range of professional services such as software development and management consulting. • Coordinated the preparation of Private Placement Memoranda, operative agreements, and related correspondence for private-equity fundraising; and administered stock option plan and corporate governance. • Regularly prepared and updated IP assignment, non-competition and other agreements pertaining to employment and consulting relationships; non-disclosure agreements; website terms and conditions of use and privacy policies; supply procurement and equipment financing contracts; and real estate leases. • Supported Human Resources activities relating to benefits, employment and consulting matters. • Managed trademark portfolio and related filings, and implemented corporate IP protection program.
