Daily Duties at Cognex Corporation:
• Structured, drafted, negotiated, finalized, and advised client on various commercial agreements relating to: o OEMs, distributors, sales representatives, and end-user customers based in the U.S., S.E. Asia, and Europe; o A range of professional services relating to software development and custom engineering solutions. • Regularly prepared and updated IP assignment, non-competition and other agreements pertaining to employment and consulting relationships; non-disclosure agreements; and supply procurement contracts. • Directed the resolution of commercial, IP and employment disputes/litigation in coordination with outside counsel. • Supported Human Resources department on benefits, employment and consulting matters. • Managed trademark portfolio and related filings, and implemented corporate IP protection program. • Conducted due diligence for corporate development activities, and analyzed margins in volume sales agreements.
